Governance Committee

The Governance Committee reviews:

reviews the mandates of the Board and its committees
monitors the effectiveness of the mandates
oversees the development of policies and procedures related to the Board's governance, oversight and monitoring roles

This committee is also responsible for recommending to the Board compensation policies and code of conduct requirements, and reporting to the Board on compliance with the code of conduct.

Finally, this committee is responsible for evaluating the CEO's performance against the objectives set annually by the Board. A “balanced scorecard” approach is used to help measure HOOPP's overall effectiveness and to support the Governance Committee's evaluation of organizational performance.
